TERMS OF SERVICE

1. Scope of Services

Ornn provides access to proprietary compute-related indices, price references, and related informational content, including but not limited to Ornn Compute Price Indices ("Indices"). The Services are provided solely for informational and reference purposes.

The Services do not constitute financial advice, investment advice, trading advice, insurance, brokerage services, exchange services, or an offer to enter into any transaction. Any transactions involving Ornn or its affiliates are governed exclusively by separate agreements.

2. License Grant

Subject to these Terms, Ornn grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal, non-commercial evaluation and reference purposes.

Your access is limited to the published index values or data outputs made available through the Services. You do not receive access to, and have no rights in, any underlying data sources, methodologies, weighting schemes, models, algorithms, or proprietary processes used to create the Indices.

All rights not expressly granted are reserved by Ornn.

3. Use Restrictions

You may not:

• Copy, reproduce, distribute, publish, display, transmit, sell, license, sublicense, rent, lease, or otherwise make available the Services or any data derived from the Services to any third party.
• Use the Services for any commercial purpose, revenue-generating activity, or external product or service without Ornn's prior written consent.
• Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Services or the Indices.
• Use the Services to benchmark, replicate, or compete with Ornn's products or services.
• Circumvent access controls, rate limits, authentication mechanisms, or other technical safeguards.

You may store limited historical data outputs solely for internal reference, provided such data is not shared, published, or monetized.

You are responsible for all activity conducted through your credentials and systems.

4. Attribution

If you reference or display index values obtained through the Services, you must provide clear attribution to Ornn using one of the following identifiers, as applicable: "Ornn," "Ornn AI," "Ornn Compute," or "Ornn Compute Price Indices."

No attribution grants any right to redistribute or commercialize the data.

5. Intellectual Property

All intellectual property rights in the Services, the Indices, trademarks, logos, trade names, documentation, and all related materials are owned by Ornn or its licensors.

Nothing in these Terms transfers any ownership interest to you.

6. No Reliance; No Guarantees

The Services are provided for informational purposes only. Ornn does not guarantee the accuracy, completeness, timeliness, availability, or continuity of any index value or data output.

You acknowledge that compute markets, hardware markets, and pricing dynamics are volatile and subject to rapid change. You assume all risk arising from your use of the Services.

You agree that you will not rely on the Services as the sole basis for any business, investment, financing, insurance, or operational decision.

7. Confidentiality

The Services and all non-public information provided through them constitute confidential and proprietary information of Ornn. You agree to protect such information using reasonable safeguards and not to disclose it except as expressly permitted by these Terms.

8. Suspension and Termination

Ornn may suspend or terminate your access to the Services at any time, with or without notice, if Ornn reasonably believes you have violated these Terms or if continued access could pose legal, regulatory, technical, or business risk.

Upon termination, you must immediately cease use of the Services and delete any stored data obtained through them.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ORNN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND DATA ACCURACY.

ORNN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORNN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

ORNN'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

11. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute shall be brought exclusively in the state or federal courts located in New York County, New York, and the parties consent to personal jurisdiction and venue therein.

12. Changes to These Terms

Ornn may update these Terms from time to time. Continued use of the Services after any update constitutes acceptance of the revised Terms.
